Agent & Partner Agreement

This one document covers two programmes. You may hold either, or both, on the same Fly2Any account. Sections 1–4 and 7–15 apply to everyone. Section 5 applies only if you are a Travel Agent; section 6 only if you are an Affiliate Partner.

1. Who this agreement is between

This Agent & Partner Agreement (the “Agreement”) is between Fly2Any (“Fly2Any”, “we”, “us”) and the individual or business that applies to and is accepted into one or both of the programmes described below (“you”).

You accept this Agreement when you submit an application to either programme. It takes effect on that date and continues until terminated under section 13.

This Agreement is in addition to the Terms of Service and the Privacy Policy, which also apply to you. Where this Agreement and the Terms of Service conflict on a matter of commission, payment or partner conduct, this Agreement governs.

2. Definitions

  • Travel Agent Programme — the programme under which you plan, quote and book travel on behalf of your own clients using Fly2Any inventory and tooling.
  • Affiliate Partner Programme — the programme under which you refer travellers to Fly2Any through tracked links and earn on the bookings they make themselves.
  • Booking — a confirmed, paid travel reservation made through Fly2Any.
  • Net Margin — what Fly2Any actually retains on a Booking after supplier cost, payment processing and refunds. Commission is a share of Net Margin, not of the price the traveller pays.
  • Trip End Date — the last date of travel on a Booking. The hold period in section 8 runs from this date, not from the booking date.

3. Two programmes, one account

The two programmes are separate but are held on a single Fly2Any account. You may apply to the second at any time without creating a new login, and you are approved for each one independently — approval for one is not approval for the other.

Each programme has its own dashboard, its own commission ledger and its own payout balance. They are not pooled: a balance earned as an Affiliate cannot be withdrawn against an Agent minimum, or the reverse.

One booking pays once. Where the same Booking could qualify under both programmes, it pays under one only. Section 7 sets out which.

A suspension or termination under section 13 applies to the account, and therefore to both programmes. A single identity cannot be barred from one and continue earning through the other.

4. Applying, approval, and what we need on file

Applications are reviewed by a person. We may approve, decline, or ask for more information, and we may decline without giving reasons. Approval is not automatic and is not implied by the passage of time.

Before any commission can be paid to you, we must hold:

  • your legal or business name;
  • a business address;
  • a taxpayer identification number — SSN, ITIN or EIN (see section 9);
  • a payout method and a payout destination we can actually send funds to.

Commission continues to accrue while these are outstanding. It simply cannot be withdrawn until they are supplied. Your dashboard shows exactly which of these is still missing.

You must keep this information current. Payments returned or misdirected because your details were out of date are your responsibility, and we may recover the cost of a failed transfer from your balance.

5. Travel Agent Programme

5.1 Your relationship with your client. Your clients are yours. You advise them, you hold the commercial relationship, and you are responsible for what you tell them. Fly2Any does not contact your clients to solicit business away from you.

5.2 You are an independent business. Nothing here makes you an employee, agent, joint venturer or legal representative of Fly2Any, and you must not describe yourself as one. You may say you book through Fly2Any. You may not say you are Fly2Any, act on our behalf, or make representations, guarantees or commitments in our name.

5.3 Pricing and your markup. Where the tooling lets you add a markup to a quote, that markup is yours and is your decision. You are responsible for presenting the total price to your client accurately, including anything you have added. You must not describe a Fly2Any price as a discount, a fare sale or a published fare unless it is one.

5.4 Commission. Your commission rate, and any per-product rates, are shown in your portal and may be set individually for your account. Commission is calculated on Net Margin and is earned when the trip completes, subject to the hold period in section 8.

5.5 Bookings you make for yourself. You may book your own travel. Commission is not payable on a Booking where you, or a household member, are the traveller.

5.6 Servicing. Changes, cancellations and disruptions on a Booking you made are handled through the channels Fly2Any provides. Where a Booking is refunded or cancelled, any commission on it is reversed, including after it has been paid to you (section 8.5).

6. Affiliate Partner Programme

6.1 What you are paid for. You are paid for a traveller who reaches Fly2Any through your tracked link and books for themselves. Attribution is by first-party tracking on the click, and lasts for the attribution window shown in your dashboard.

6.2 Tiers. Commission is a share of Net Margin and rises with completed monthly trips. The current ladder is Starter 15%, Bronze 20%, Silver 25%, Gold 30%, Platinum 35%. Tiers and thresholds are a business decision and may change on notice; your dashboard always shows the rate in force for your account.

6.3 Your channels. You must declare the channels you promote on, and they are screened. We may decline a channel, and a channel that carries content in the prohibited categories in section 11 will cause the account to be reviewed. Because a partner link is a single identity, one blocked channel affects the whole account.

6.4 No self-referral. Commission is not payable on a Booking made by you, through your own link, for your own travel. This is checked automatically.

6.5 Honest promotion. You must not bid on Fly2Any brand terms in paid search, use cookie stuffing, forced clicks, incentivised clicks, toolbars, adware, or any method that generates a click the traveller did not intend. You must not publish a fare, a review, a rating or a scarcity claim that we did not give you.

7. One Booking pays once

This is the operative rule where you hold both programmes.

7.1 Where a single Booking would otherwise earn under both programmes — for example a traveller arrives through your affiliate link and you then transact the Booking for them as their agent — it pays agent commission only. The affiliate commission is not created.

7.2 Why the agent side. Booking for a client carries the advice, the servicing and the responsibility. A referral fee is for sending traffic that serves itself. Where the same person did both, you are paid for the role that carries the obligation — and it is, in almost all cases, the larger of the two.

7.3 This is not a penalty and is not a finding of misconduct. It is simply that one Booking generates one Net Margin, which can be shared once.

7.4 A Booking made by a traveller who found you through your affiliate link and who you have never transacted for remains an ordinary affiliate Booking, and pays under section 6 as normal.

8. How and when you are paid

  • 8.1 Accrual. Commission accrues when a Booking is confirmed and paid, and moves through your ledger as the trip progresses.
  • 8.2 Hold period. Commission becomes available 30 days after the Trip End Date. The hold exists because refunds, cancellations, chargebacks and supplier disputes mostly surface inside that window.
  • 8.3 Minimum. A payout can be requested once your available balance reaches the minimum shown in your dashboard. Balances below it roll forward; nothing is lost.
  • 8.4 Methods. Payouts are made by PayPal or bank transfer, to the destination you supply. We do not pay in cash, in travel credit, or to a third party.
  • 8.5 Reversal. If a Booking is cancelled, refunded, charged back or found to be fraudulent, the commission on it is reversed. If it had already been paid to you, the amount is deducted from your next payout, or is repayable on request if no further payout is due.
  • 8.6 Currency. Commission is calculated and paid in US dollars unless your dashboard states otherwise.
  • 8.7 Disputes. Query a commission within 90 days of the Trip End Date. After that the ledger is treated as settled.

9. Tax

You are responsible for your own taxes. Fly2Any does not withhold income tax, self-employment tax, or any other tax from your commission.

Commission paid to a US person is reportable. We must hold a valid taxpayer identification number — an SSN, ITIN or EIN — together with your legal name and address, before any payout can be released, and we will issue the applicable information return where thresholds are met.

We store only a masked form of your taxpayer identification number. The full number is never retained in our systems after it is submitted.

If you are not a US person, you are responsible for your own local reporting, and we may ask for documentation of your status before releasing a payout.

10. Your clients' and travellers' data

Client and traveller data reaches you so that you can serve the traveller. You may use it for that, and for nothing else.

You must not sell it, rent it, share it, add it to a marketing list unrelated to the trip, or retain it after it is no longer needed. You must keep it secure, and you must tell us promptly if you become aware that it has been exposed.

Where you collect a traveller's data yourself, you are responsible for having a lawful basis to do so and for honouring their rights over it.

11. Conduct and prohibited promotion

You must not promote Fly2Any on, or alongside, content that involves:

  • child sexual abuse material, or any sexual content involving minors;
  • malware, phishing, credential theft or account takeover;
  • piracy, counterfeit goods, or the sale of stolen data;
  • unlicensed gambling, unlicensed pharmaceuticals, or controlled substances;
  • incitement to violence, terrorism, or hatred against a protected group.

You must also not:

  • misrepresent price, availability, inclusions, or cancellation terms;
  • publish a fare, rating, review count or scarcity claim we did not provide;
  • impersonate Fly2Any, an airline, a hotel, or another travel brand;
  • use our name, logo or branding in a domain, app name or social handle without written permission;
  • attempt to access another partner's account, data or commission.

Automated screening flags; people decide. A flag is not a finding, and you will not normally be told the specifics of a screening result — publishing them would only teach evasion.

12. Intellectual property

We grant you a limited, non-exclusive, revocable, non-transferable licence to use the Fly2Any name, logo and marketing materials we supply, solely to promote Fly2Any under this Agreement, and only in the form supplied. The licence ends when this Agreement ends.

Everything you produce yourself remains yours. Everything we supply remains ours.

13. Suspension, termination, and what survives

13.1 You may terminate at any time by closing your account or telling us in writing.

13.2 We may suspend or terminate for breach of this Agreement, for fraud, or where continuing would expose travellers or Fly2Any to harm. Where the circumstances allow, we will tell you what the problem is and give you a chance to fix it.

13.3 Commission you have already earned survives termination. A terminated account is suspended, not erased: the ledger stays auditable and legitimately earned commission remains payable, subject to the hold period and to reversal under section 8.5.

13.4 Commission is not payable where it arose from fraud, from activity prohibited by section 11, or from bookings that were cancelled or reversed.

13.5 On termination you must stop using our name, logo and materials, and remove active tracking links from your channels.

14. Liability, and no guarantee of earnings

We make no representation about how much you will earn. Commission depends on bookings that actually complete, and nothing in this Agreement, in our marketing, or in any tier table is a projection or a promise of income.

To the extent permitted by law, Fly2Any is not liable to you for indirect, incidental, special or consequential loss, or for lost profits or lost opportunity, arising from this Agreement or from either programme. Our total liability to you in any twelve-month period will not exceed the commission paid to you in that period.

Nothing in this section limits liability that cannot lawfully be limited.

You will indemnify Fly2Any against claims arising from your own conduct — including how you have described a trip or a price to your client, your handling of traveller data, and your promotional activity.

15. Changes, governing law and contact

15.1 Changes. We may amend this Agreement. Material changes to commission, payment terms or conduct rules take effect 30 days after we notify you at the email address on your account. Continuing to use either programme after that date is acceptance. If you do not accept a change, you may terminate under 13.1, and commission already earned is unaffected.

15.2 Governing law. This Agreement is governed by the laws of the State of New York, without regard to its conflict-of-laws rules, and the courts of that state have exclusive jurisdiction.

15.3 Severability. If any provision is held unenforceable, the rest of the Agreement continues in force.

15.4 Entire agreement. This Agreement, together with the Terms of Service and Privacy Policy, is the whole agreement between us on this subject and replaces anything said or written before it.
